ShopVimCenter Advertising and Content Rules

These Rules govern creator and partner advertising, endorsements, brand use and content permissions for the international ShopVimCenter programmes. They apply to organic posts, affiliate links, videos, reviews, livestreams, direct messages and paid campaigns. Each target country and product must be approved before promotion begins.

1 Individual approval and brand permissions

1.1. The Company must separately approve each material through ShopVimCenter or the registered email channel. The approval record identifies the final file or text, approved claims and warnings, products, channel, language, territory, dates and any permitted edits. Access to a media library, silence or approval of a different post does not grant publication permission.

1.2. Unless a separate approval states otherwise, an approved Company material is licensed without a separate royalty, nonexclusively and only for the approved promotional purpose and period. You may resize, change format, crop without changing meaning or removing a warning, and insert your approved referral link in the intended location. Substantive edits, translation, new claims, new territories and synthetic alterations require fresh approval.

1.3. Do not register confusing domain names, social handles, advertisements or trademarks, present yourself as the Company’s official account, resell materials, remove attribution or rights notices, or sublicense assets without express authority. Permissions apply only to rights the Company is entitled to grant; any third party limitations communicated with the asset must be followed.

2 Materials created by participants

2.1. The participant keeps the rights they lawfully own in their original content. The Company receives no unrestricted copyright assignment merely because content is submitted or participation is approved. The Company may republish or advertise a participant’s work only after separate agreement identifying that material and its permitted use.

2.2. The individual permission records purpose, media, territory, duration, attribution and the agreed technical edits. The default agreed licence is nonexclusive and royalty free, with no separate fee for the agreed use; a different fee or exclusive arrangement needs an express written agreement. Mandatory rights, including nonwaivable moral rights and data protection rights, are preserved.

2.3. Obtain the rights of photographers, composers, performers and other contributors. Do not assume that a social platform music licence permits Company advertising or republication elsewhere. Identifiable people, private locations and personal information may require separate permissions or another lawful basis. Content involving minors requires specific legal review and appropriate guardian permissions before approval.

3 Advertising disclosures

3.1. Disclose a material commercial connection clearly and prominently in the language of the audience. A suitable statement for an affiliate recommendation is “Ad — I may earn a commission from purchases made through this link.” If products were gifted, say so clearly. The exact disclosure must fit the actual relationship and local law; these examples are not a universal statutory formula.

3.2. Put the disclosure where the recommendation or link is seen, before a purchase decision and without requiring an expanded caption or a visit to a profile. Include it on each relevant platform and placement. In video, use a prominent visible disclosure and, where needed to be clearly understood, an audible one; repeat it appropriately in livestreams. A platform disclosure tool may help but does not replace an adequate disclosure if the tool is unclear or easily missed.

3.3. For United States audiences, material connection and truthful endorsement rules include the FTC Endorsement Guides and applicable consumer review rules. For Canadian audiences, disclose material connections under the Competition Act. For UK audiences, affiliate advertising must be recognisable as advertising under applicable rules. For EEA audiences, apply the relevant national commercial communication and unfair practice rules. Company approval never removes a disclosure required by the audience’s law.

4 Truthful product statements

4.1. Use only claims the Company has substantiated and approved for the particular product, wording and territory. Do not present an opinion, preliminary study or customer story as established scientific proof. Your reported personal experience must be real and must not imply typical results without adequate evidence of what users can generally expect.

4.2. For foods and supplements promoted in the EU, use only authorised nutrition and health claims where the product satisfies their conditions, together with required accompanying information. Do not claim to prevent, treat or cure disease or replace medical care. A general disclaimer does not legalise an otherwise prohibited claim.

4.3. For United States promotion, do not claim FDA approval for a supplement or use a disease claim prohibited for that product. Any lawful structure or function statement must meet the applicable substantiation, labelling and notification requirements. A statutory disclaimer is required only where the relevant rule applies and does not cure misleading advertising. The product and claim must be legally permitted in the target country and separately approved by the Company.

4.4. Do not promise guaranteed safety, suitability for everyone, guaranteed weight loss, exceptional sporting results, medical outcomes or freedom from side effects without a lawful and adequate basis. Product use and cautions must follow the approved local label. Do not give individual medical advice as the Company’s representative.

5 Earnings and programme claims

5.1. Never promise guaranteed, effortless, risk free, passive or typical high income without reliable and relevant evidence. Do not use lifestyle images or exceptional earnings to create an unsupported impression about ordinary results. Do not state that recruitment alone generates a reward or that joining is an investment.

5.2. Do not publish a private remuneration schedule, numerical income illustration or earnings testimonial without specific Company approval and the disclosures required for the target country. A rate calculation is not evidence of typical income. Where reliable typical results and participant expenses are not available, do not make an earnings representation; “results vary” or “not typical” alone does not cure a misleading impression.

5.3. Participation is voluntary, no purchases or recruitment quotas are required, and advertising costs may exceed earnings. Product purchases must serve genuine demand, not qualification, stockpiling or circular bonus generation. Do not encourage someone to borrow to participate.

6 Reviews and synthetic content

6.1. Do not create fake or AI fabricated customer experiences, buy sentiment conditioned reviews, suppress honest negative reviews through improper pressure, inflate followers or engagement, or disguise an insider review. A genuine incentivised review must comply with the platform’s rules and disclose the incentive; it must never be conditional on a positive rating.

6.2. Do not impersonate a person or misrepresent an AI generated image, voice or demonstration as a real person’s experience. Obtain required image, voice and intellectual property permissions. Make applicable synthetic media and AI interaction disclosures, including relevant EU transparency requirements, where they apply. Never feed private account or customer information into an unapproved AI service.

6.3. Environmental, ethical and sustainability statements need specific evidence and legally permitted wording. Do not use unsupported general “green”, “eco friendly”, climate neutral or certification claims, or a self created label that suggests official certification. National implementation of the EU consumer amendments applicable from 27 September 2026 must be checked for EEA campaigns.

7 Prohibited channels and methods

7.1. Do not send unsolicited commercial email, text or direct messages, scrape addresses, post concealed advertisements or override platform rules. Obtain and document any consent required by applicable marketing law and provide the legally required sender information and easy opt out. Joining a programme or buying a product does not automatically authorise every marketing channel.

7.2. Do not target a business opportunity at minors, exploit vulnerable audiences, use discriminatory or unlawful content, conceal the real destination of a link, or bid on Company brand terms without specific approval. Promotions, competitions, giveaways and discount claims require separate approval of their rules and country conditions.

7.3. Paid campaigns at the participant’s expense require prior approval of material, platform, destination, audience countries, period and budget. There is no guarantee of return or reimbursement; reimbursement requires separate written agreement. Do not substitute a new claim, tracking vendor or destination after approval.

8 Reporting and correction

8.1. Send the Company the publication URL and proof of placement within 1 business day, and available monthly statistics no later than the 5th business day of the following month, through ShopVimCenter or email. Keep the original disclosure, approval and placement evidence for the justified period stated by the Company. Supply only data you are lawfully permitted to share.

8.2. On withdrawal of permission or termination, stop new use immediately and ordinarily correct or remove existing placements within 3 business days. For an urgent unlawful or unsafe claim, follow the shorter reasonable deadline stated in the notice. If a platform prevents removal, promptly provide evidence and take reasonable steps to stop distribution and request removal.

8.3. Send a rights complaint to manager@vimgrace.com identifying the work, challenged placement, your authority, reasons and contact details. The Company aims to acknowledge and provide an initial assessment within 5 business days and may restrict the material while checking it. It will request proportionate missing information and give the relevant contributor an opportunity to respond where lawful. This process does not purport to replace a jurisdiction’s statutory takedown or counter notice procedure.

9 Responsibility and enforcement

9.1. The Company may pause an affected campaign, revoke a permission or restrict programme functions for a documented breach. Final exclusion and remuneration adjustments follow the participation agreement and private schedule. There is no automatic confiscation of all earnings for a content complaint.

9.2. The Company remains responsible for its own product claims, approvals and applicable advertiser obligations. Participants remain responsible for their own unauthorised edits, concealed relationships, false experiences and unlawful conduct. Mandatory local rules prevail where stricter than these Rules.
